Terms and Conditions

1. General

The provisions set out below apply to all our sales contracts and to all our services, unless expressly agreed otherwise in writing. M.I.P. and the customer are hereinafter referred to as the seller and the buyer respectively, but the terms and conditions of the invoice shall also apply mutatis mutandis if the agreement concluded is a contract for work and materials.

2. Termination

In the event that a contract is terminated by the buyer, the buyer shall be liable to pay a lump-sum amount as compensation, amounting to 20 per cent of the contract sum, without prejudice to the seller’s right to claim higher damages should there be grounds for doing so.

3. Delivery time

The dates stated as delivery times for the goods are for guidance only and do not in any way constitute deadlines by which the seller is obliged to carry out the delivery. A reasonable delay in delivery does not entitle the buyer to cancel their order, claim compensation or defer payment. If the product cannot be delivered on time due to the customer’s actions, a fee for the use of M.I.P.’s premises will become payable 8 days after the agreed delivery date, as follows:

  • Silo diameter < 3 metres: €250.00 per week
  • Silo diameter 3–5 metres: €400.00 per week
  • Silo diameter > 5 metres: 1,000.00 €/week

These amounts will be adjusted annually on 1 January in line with the health index figure.

4. Prices

All our prices are exclusive of VAT, ex works. Unless otherwise agreed, the contract covers only the manufacture of the goods ordered. All other services are to be borne by the buyer and are not included in the price, including, but not limited to, all civil engineering works, packaging and packaging costs, transport costs, any import duties, and all costs of assembly and installation. The price is guaranteed for a period of 3 months. Thereafter, the price will be automatically adjusted in line with the costs of raw materials and other materials, packaging costs, transport costs, wages and salaries, social security contributions, import duties, value-added tax, insurance premiums, exchange rates and currency ratios, or any other factor that may influence pricing.

5. Studies and projects

Should M.I.P. be commissioned by the purchaser to carry out a study or to design a more complex installation, the technical data shall be supplied by the customer at their sole responsibility. M.I.P. shall carry out the study and/or design to the best of its ability. If the design is approved by the customer, M.I.P. shall, by virtue of this approval alone, be fully released from any liability, and the implementation of the design in accordance with the approved plan or specifications shall take place at the purchaser’s own risk and responsibility. The purchaser is deemed to have fully reviewed the design in question and, where necessary, to have verified the calculations, and hereby releases M.I.P. from any liability in this regard, even in the event of gross negligence. All studies, plans and documents are and remain the property of M.I.P., protected by intellectual property rights. Should they be handed over to the purchaser, the latter must not misuse them. Under no circumstances may they be shown to or used by third parties. The party requesting the plans and any third parties remain jointly and severally liable for any misuse, and M.I.P. reserves the right to claim damages. All studies, plans and documents must be returned upon first request. Studies, designs and specifications will be invoiced at 10 per cent of the estimated cost of carrying out the project in question. If the order is placed with M.I.P., this amount will be set off against the final cost.

6. Transfer of risk

The buyer bears the risk in respect of the goods covered by the contract from the moment they leave the factory.

7. Transport

Even if we carry out the transport ourselves, this is done as the buyer’s agent, and the buyer is obliged to check the condition of the goods upon arrival for any transport damage. If, as a result of external circumstances such as weather conditions, traffic chaos, strikes and the like, a consignment has to be postponed, the delivery period will be extended by the same duration. It is understood, however, that if a new transport permit needs to be applied for, the delivery period will also be extended by the time taken to process that application. When the customer collects silos or tanks, the exact date and estimated time must always be notified at least 48 hours in advance (working days only), so that space can be made available for loading. If collection is carried out without a crane lorry and the silos need to be loaded using our overhead crane, a fixed rate of €250 per load applies for loading, including handling. A time slot of half a day (morning or afternoon) is reserved for this. If the collection cannot take place within the scheduled time slot, an additional charge of €250 per half-day may be applied.

8. Payments and retention of title

Unless otherwise agreed, all invoices are payable in cash in Rijkevorsel to our bank account number. For overdue amounts, interest on arrears at a rate of 10% is payable by operation of law and without notice of default, calculated from the invoice date. Furthermore, in the event of late payment, the amount due shall be increased by 10%, subject to a minimum of €100, by operation of law and without any notice of default. Cheques and bills of exchange shall only be deemed payment once they have been cashed. M.I.P. reserves the right at any time, even during the performance of the contract, to request guarantees and/or advance payments from the buyer until the final invoice is issued. M.I.P. reserves the right to set a credit limit for the buyer and may suspend any order if this limit is exceeded, without this resulting in the sale and purchase agreement being deemed terminated. In the event of the buyer’s failure to comply with this, M.I.P. reserves the right to suspend all obligations towards the buyer by operation of law and without notice of default, and/or to regard them as terminated, without prejudice to its right to compensation. Calculation errors or obvious material errors may be rectified by M.I.P. at any time without the agreement itself being affected. The goods remain the property of M.I.P. until the purchase price has been paid in full. Where advance payments have been made, title shall pass when 90 per cent of the agreed price has been paid. The retention of title also extends to the buyer’s claim arising from resale. The buyer is liable for any damage caused to goods which, under this provision, remain the property of M.I.P. The buyer undertakes not to sell the goods, nor to transfer them to third parties, nor to use them as security whilst they remain the property of M.I.P. In the event of the buyer’s failure to fulfil their obligations, M.I.P. shall be entitled to exercise the retention of title without recourse to the courts. In such a case, the buyer specifically authorises M.I.P. to repossess the goods delivered, wherever they may be, and acknowledges that such repossession shall not result in the termination of the contract.

9. Acceptance and complaints

The buyer is obliged to inspect the goods for visible defects immediately upon delivery. In the absence of any complaints regarding visible defects within 8 days of delivery of the goods, the goods shall be deemed to have been accepted. The assembly and use of the goods in question shall be deemed to constitute express acceptance. Given the nature of the raw materials used, colour variations may occur in the end product. Such colour variations do not constitute a defect and shall not give rise to a refusal of the delivery or to a price reduction. In the event of non-acceptance, the buyer is liable for the safekeeping, supervision and storage of the delivered goods, without M.I.P. being liable to pay any compensation in this regard. Subject to M.I.P.’s liability for visible defects, M.I.P. is liable for hidden or other defects in the delivered products for a period of 2 years. After this period, any warranty lapses and M.I.P. is no longer obliged to take any action, not even in respect of hidden defects that might only come to light after this two-year period. Any claim under any warranty or indemnity obligation on the part of M.I.P. shall, at most, give rise to the rectification of the faulty or defective work, a new delivery of the ordered goods, or a reduction in the price of the faulty or defective work, at the discretion of M.I.P. Moving parts, parts subject to wear and tear, or pressure-sensitive parts, such as, amongst others, filling pipes and manholes, are never replaced under warranty, and the costs of repair or replacement shall in such cases always be borne by the buyer. In the event of repair or replacement, the buyer is in any case obliged to bear any additional transport, dispatch and relocation costs, as well as labour costs. M.I.P. is in no way obliged to pay for consequential damage and shall only be liable for damage to the delivered item itself, to the exclusion of any other damage, however described. Unless explicitly stated in the order, the goods supplied are not resistant to aggressive or corrosive substances. Unless expressly agreed otherwise, M.I.P. does not guarantee installation, and M.I.P.’s obligation is limited to delivering the goods to the site. In the event that a defect or claim relates to a loss covered by an insurance policy taken out by M.I.P., M.I.P.’s liability shall in any event be limited to the amount paid out by the insurer under the terms of the policy.

10. Liability for services

All services and advice, of whatever nature, are provided to the best of our ability, taking into account the information provided to M.I.P. by the purchaser. As far as M.I.P. is concerned, services and advice constitute obligations of best efforts only. The purchaser waives the right, in the event of damage, to bring claims on any grounds whatsoever against M.I.P.’s appointees. The term ‘appointees’ shall be understood to mean all employees of M.I.P., all managers who, on a self-employed basis or through a company, carry out work for M.I.P. on a permanent basis within the scope of M.I.P.’s corporate purpose. This does not include subcontractors who work for M.I.P. on an individual basis and on a project-by-project basis. Should a claim arise, the parties agree to limit the damage to their own product, insofar as it is not insured and insofar as the product is still covered by the warranty period. This limitation of liability is also a determining factor in setting the agreed price. If a claim arises within the first 6 months after delivery, the claim shall be limited to 35% of the contract value. If the claim arises thereafter, the amount of the claim shall be limited to 15% of the contract value.

11. Working hours

Working hours at the buyer’s premises are calculated from the time M.I.P. staff leave the factory until their return to the factory. Travel and accommodation expenses are always borne by the buyer.

12. Assembly

The purchaser alone is responsible for making all the necessary arrangements for the installation. This includes ensuring that the installation site is accessible and that the necessary arrangements are made in good time, including the supply of electricity, the provision of installation bases and so on. All costs of installation shall be borne by the buyer. The buyer shall be liable for any damage arising from a defect in the base on which the installation is to take place.

13. Force majeure

Cases of force majeure, seizures of any kind and for any reason whatsoever, all disruptions and obstacles to business operations and deliveries, all unforeseen events at M.I.P., or at the firms from which M.I.P. sources its goods or raw materials, all transport obstructions or delays, as well as the failure of M.I.P.’s suppliers to deliver the goods, strikes, lockouts, export or import bans or restrictions, fire or accidents, mobilisation, war, civil unrest, or statutory provisions, shall entitle M.I.P. to cancel its delivery obligations in whole or in part and definitively, or to suspend them temporarily.

14. Disputes

This agreement is governed by Belgian law. In the event of a dispute, only the Antwerp Commercial Court, Turnhout Division, the Antwerp Court of First Instance, Turnhout Division, or the Turnhout II Magistrates’ Court shall have jurisdiction to hear the matter.
